1. INTRODUCTION
Welcome to Meridukan.app (“Meridukan”, “we”, “us”, “our” or “Platform”). Meridukan.app is a multi-category and multi-vendor online marketplace through which customers can discover, purchase and receive products and services offered by participating vendors/sellers.
The Platform may provide services including:
• Customer registration and account management • Vendor/seller registration and marketplace services • Product browsing and ordering • Online payment through payment gateways • UPI payments • Cash on Delivery (COD) • Order processing and tracking • Delivery services • OTP-based order/delivery verification • Customer support • Vendor management • Referral and earning/reward programmes • Promotional offers and communications • Other marketplace-related services These Terms & Conditions govern your access to and use of Meridukan.app, including its website, application, marketplace services and related features. By accessing, registering on, browsing or using Meridukan.app, you agree to these Terms & Conditions, the Privacy Policy and any other applicable policies or programme-specific terms published on the Platform. If you do not agree with these Terms, you should not use the Platform.

2. DEFINITIONS
For these Terms:
• “Platform” means Meridukan.app and its related website, application, systems and services. • “Customer” means a person who registers, browses, purchases or otherwise uses the Platform for purchasing products or services. • “Vendor” / “Seller” means a business or person who lists or offers products/services through the Platform. • “Delivery Partner” means a person or service provider involved in delivery or logistics. • “Order” means a purchase request placed by a Customer through the Platform. • “Referral Programme” means any referral, reward, commission or earning programme made available by Meridukan. • “User” means any Customer, Vendor, Delivery Partner or other authorised user of the Platform.

3. ELIGIBILITY AND ACCOUNT REGISTRATION
Users must provide accurate and complete information when creating an account or using services that require registration.
You are responsible for:
• Providing correct name and contact information; • Keeping account information updated; • Maintaining the confidentiality of login credentials; • Protecting OTPs, passwords and authentication information; • All activities carried out through your account, subject to applicable law. Meridukan may require mobile number, email, OTP or other verification methods for account creation, login, order processing, security or other Platform functions. Users must not create or operate accounts using false, misleading, fraudulent or unauthorised information.

4. CUSTOMER TERMS
Customers may browse products, place orders and use available Platform services subject to these Terms.
Customers agree to:
• Provide accurate delivery and contact information; • Review product details before placing an order; • Make payments using available payment methods; • Be available or provide appropriate instructions for delivery; • Provide delivery OTP when required for legitimate delivery verification; • Use the Platform only for lawful purposes; • Not misuse promotional, referral, COD or other Platform features. Meridukan may take appropriate action where an account or activity appears fraudulent, abusive or inconsistent with these Terms, subject to applicable law.

5. VENDOR / SELLER TERMS
Vendors are responsible for the products and information they list on the Platform, subject to the marketplace arrangement between Meridukan and the Vendor.
Vendors must:
• Provide accurate product descriptions, prices and availability; • Provide legally required business information and documents; • Maintain appropriate product quality and compliance; • Process accepted orders according to applicable Platform procedures; • Follow applicable consumer, tax, product, packaging and other laws; • Use customer information only for authorised marketplace purposes; • Not misuse customer information; • Cooperate with returns, cancellations, refunds and dispute resolution where applicable. Meridukan may require vendor verification, business documents, tax/GST information, PAN or other information where legally required or necessary for marketplace operations.

6. PRODUCT LISTINGS AND AVAILABILITY
Products displayed on Meridukan may be supplied by independent Vendors.
Product information may include:
• Product name; • Description; • Images; • Price; • Discounts or offers; • Availability; • Variants; • Size, quantity or specifications; • Vendor information. Meridukan may not control every aspect of products supplied by independent Vendors. Vendors remain responsible for the accuracy of their listings and compliance with applicable law. Product availability may change without prior notice. Images are generally provided for product representation and may vary from the actual product due to display settings, photography, packaging changes or other factors.

7. PRICING, OFFERS AND TAXES
Prices displayed on the Platform may include or exclude applicable taxes, delivery charges, platform charges or other applicable charges depending on how the price is presented. The final amount payable will be shown during the applicable checkout or order process. Meridukan and/or Vendors may offer discounts, coupons, promotional pricing or other offers subject to specific conditions.
Promotional offers may have:
• Limited validity; • Product or category restrictions; • Minimum order requirements; • User/account restrictions; • Quantity limits; • Payment-method restrictions; • Other programme-specific conditions. Meridukan may correct an apparent pricing, typographical or technical error and may take appropriate action regarding an order affected by such error, subject to applicable law.

8. ORDER PLACEMENT AND ACCEPTANCE
Placing an order constitutes a request to purchase the selected product(s) or service(s).
An order may be subject to:
• Product availability; • Vendor acceptance; • Payment confirmation; • Address/serviceability; • Verification requirements; • Applicable Platform conditions. Meridukan may cancel or decline an order where permitted by applicable law, including circumstances involving unavailable inventory, incorrect pricing, suspected fraud, serviceability limitations, payment failure or other legitimate operational reasons. Where an order is cancelled, any eligible refund will be handled according to the applicable refund/payment process.

9. PAYMENT TERMS
Meridukan may support payment methods including:
• UPI;
• Cash on Delivery (COD); • Debit/Credit Card, where supported; • Net Banking, where supported; • Other payment methods made available through payment partners. Online payments may be processed through third-party payment gateways or payment service providers. Payment transactions may be subject to the terms and policies of the relevant payment provider. Meridukan may use transaction information for order confirmation, payment verification, reconciliation, refunds, dispute handling and fraud prevention.

10. CASH ON DELIVERY (COD)
Where COD is available, Customers may be required to pay the applicable order amount at the time of delivery.
COD availability may depend on:
• Delivery location; • Product/category; • Order value; • Customer/order history; • Service availability; • Fraud or risk controls; • Other applicable conditions. Repeated failed COD orders, suspicious activity or misuse may result in restrictions on COD availability, subject to applicable law.

11. DELIVERY AND OTP VERIFICATION
Meridukan may arrange or facilitate delivery through Vendors, Delivery Partners or logistics service providers. Customers are responsible for providing accurate delivery information. Delivery may require OTP-based verification. The OTP may be used to: • Verify the recipient; • Confirm delivery; • Reduce fraudulent delivery claims; • Prevent unauthorised delivery completion; • Maintain delivery records. Customers should not share delivery OTPs with unknown or unauthorised persons. Delivery timelines may vary depending on product availability, Vendor processing, location, logistics conditions, weather, public events and other circumstances.

12. CANCELLATION
Cancellation may be available subject to the order status and applicable product, Vendor and Platform conditions. An order may not be cancellable after it has entered certain stages of processing, dispatch or delivery. Where cancellation is accepted, any applicable refund will be processed according to the relevant payment and refund terms. Certain products or services may have additional cancellation restrictions where legally permitted.

13. RETURNS, REPLACEMENTS AND REFUNDS
Returns, replacements and refunds may depend on:
• Product category; • Vendor policy; • Product condition; • Reason for return; • Time period for raising the request; • Applicable Platform policy; • Applicable law. Customers may be required to provide relevant information, photographs, order details or other evidence when raising a return, replacement, refund or dispute request. Refunds, where approved, may be processed through the original payment method or another permitted method. COD refunds may require additional verification or settlement procedures.

14. REFERRAL AND EARNING PROGRAMME
Meridukan may provide a referral, rewards, commission or earning programme under which eligible Customers or Users may earn rewards/benefits subject to programme-specific conditions. Using a referral link or code does not automatically guarantee an earning.
Eligibility may depend on conditions such as:
• Successful registration; • Eligible order completion; • Minimum order value; • Successful payment; • Non-cancellation; • Non-return/refund status; • Programme-specific conditions; • Fraud or abuse checks; • Other conditions communicated by Meridukan. Meridukan may cancel, hold, adjust or reverse referral rewards where activity is invalid, fraudulent, duplicated, abusive, cancelled, refunded or otherwise outside applicable programme conditions, subject to applicable law. Specific earning rates, qualifying conditions, payout procedures and restrictions may be published separately in the Referral/Earning Programme Terms.

15. USER CONDUCT AND PROHIBITED ACTIVITIES
Users must not:
• Use the Platform for unlawful purposes; • Provide false or misleading information; • Create fraudulent or duplicate accounts; • Attempt to access another person's account; • Misuse OTPs or authentication systems; • Manipulate orders, payments, refunds or referral rewards; • Abuse promotional offers; • Conduct fraudulent COD activity; • Upload unlawful, infringing or misleading content; • Interfere with Platform security or operation; • Introduce malicious software or harmful code; • Scrape or systematically extract Platform data without authorisation; • Attempt to bypass Platform security or access controls; • Use customer or vendor information for unauthorised purposes; • Engage in conduct that violates applicable law.

16. ACCOUNT SUSPENSION OR TERMINATION
Meridukan may restrict, suspend or terminate an account where permitted by applicable law, including where there is: • Suspected fraud; • Abuse of Platform features; • Repeated violations of these Terms; • Misuse of referral or promotional programmes; • Payment or COD abuse; • Unauthorised access; • Security concerns; • False or misleading information; • Other conduct that may harm the Platform, its users or service providers. Where appropriate, Meridukan may provide notice or an opportunity to resolve an issue, subject to applicable law and the nature of the situation. Termination does not automatically remove obligations or rights that accrued before termination.

17. INTELLECTUAL PROPERTY
The Platform and its original content, branding, logos, designs, software, layout, graphics, text and other materials may be protected by applicable intellectual property laws. Except as permitted by law or with appropriate permission, Users must not: • Copy; • Reproduce; • Modify; • Distribute; • Publish; • Sell; • Create derivative works from; • Reverse engineer; or • Commercially exploit Platform materials without appropriate authorisation. Vendor-owned product names, trademarks, images and other materials remain subject to the rights of their respective owners.

18. USER CONTENT AND REVIEWS
Where the Platform allows reviews, ratings, comments or other user-generated content, Users must ensure that such content is lawful, accurate and not misleading.
Users must not post content that:
• Is defamatory or unlawful; • Infringes another person's rights; • Contains malware or harmful code; • Contains unauthorised personal information; • Is fraudulent or deceptive; • Violates applicable law; • Is unrelated to the relevant product or service. Meridukan may moderate, remove or restrict content where permitted by applicable law and Platform rules.

19. PRIVACY AND PERSONAL DATA
Use of Meridukan.app is also governed by the Meridukan.app Privacy Policy. The Privacy Policy explains how Meridukan may collect, use, store, share and protect personal information. Information may be shared with Vendors, Delivery Partners, payment providers and service providers where necessary to provide requested services, subject to applicable law. Users should review the Privacy Policy before using the Platform.

20. THIRD-PARTY SERVICES
Meridukan may use third-party service providers for functions including: • Payment processing; • UPI/payment services; • SMS and OTP; • Email and notifications; • Hosting and cloud infrastructure; • Analytics; • Security; • Customer support; • Logistics and delivery; • Other technical services. Third-party services may be subject to their own terms and policies. Meridukan is not responsible for matters solely within the control of an independent third-party provider, except to the extent responsibility cannot lawfully be excluded.

21. REFERRAL, PROMOTIONAL AND SPECIAL PROGRAMME TERMS
Certain Platform features may have separate terms.
These may include:
• Referral programmes; • Earning/reward programmes; • Vendor programmes; • Coupons; • Promotional campaigns; • Limited-time offers; • Loyalty programmes; • Special payment offers. Where separate terms are published, those terms will apply to the relevant programme in addition to these Terms. If there is a conflict, the specific programme terms may govern the relevant programme to the extent permitted by applicable law.

22. PLATFORM AVAILABILITY
Meridukan aims to keep the Platform available and functional but does not guarantee uninterrupted or error-free availability.
The Platform may occasionally be unavailable because of:
• Maintenance; • Updates; • Technical issues; • Security incidents; • Internet/network problems; • Third-party service interruptions; • Events beyond reasonable control. Meridukan may modify, suspend or discontinue features or services where permitted by applicable law.

23. LIMITATION OF LIABILITY
To the extent permitted by applicable law, Meridukan's liability in relation to a particular transaction or service may be limited to the extent permitted under applicable law and the nature of the applicable service. Nothing in these Terms is intended to exclude or restrict liability that cannot legally be excluded or restricted. Meridukan does not represent that every product supplied by an independent Vendor will be free from defects, provided that statutory consumer rights and other mandatory legal protections remain unaffected.

24. INDEMNITY
To the extent permitted by applicable law, a User may be responsible for losses, claims, liabilities, costs or expenses arising from the User's: • Violation of these Terms; • Unlawful use of the Platform; • Fraudulent or abusive activity; • Infringement of third-party rights; • Misuse of another person's information; • Breach of applicable law. This section does not limit any rights or remedies that cannot legally be limited.

25. FORCE MAJEURE
Meridukan will not be responsible for delay or failure caused by circumstances beyond reasonable control, including where applicable: • Natural disasters; • Floods, fires or severe weather; • Epidemics or public emergencies; • Government restrictions; • War or civil disturbance; • Strikes or labour disruptions; • Internet or telecommunications failures; • Major technical failures; • Third-party service interruptions; • Other events beyond reasonable control.

26. GOVERNING LAW
These Terms shall be interpreted in accordance with the applicable laws of India. Any legal proceedings relating to the Platform or these Terms shall be subject to the jurisdiction of courts having jurisdiction under applicable Indian law. Nothing in these Terms is intended to remove or restrict any mandatory consumer or statutory rights available under applicable law.

27. CONSUMER PROTECTION
Meridukan and participating Vendors intend to operate the Platform in accordance with applicable Indian e-commerce and consumer protection requirements.
Applicable laws may include, as relevant:
• Consumer Protection Act, 2019; • Consumer Protection (E-Commerce) Rules, 2020; • Digital Personal Data Protection Act, 2023; • Applicable rules and regulations; • Information Technology Act, 2000 and applicable rules; • Applicable tax and payment laws; • Other laws applicable to the Platform's activities. Nothing in these Terms is intended to override mandatory rights or protections available to consumers under applicable law.

30. SEVERABILITY

You understand that OTP may be used for delivery verification; 8. You understand that referral/earning eligibility is subject to applicable programme conditions; 9. You will provide accurate information and use the Platform lawfully; 10. You have reviewed the Meridukan.app Privacy Policy.
